In the context of the termination of the state of emergency in Romania, Emergency Ordinance no. 70/2020 was adopted to regulate some measures starting with 15 May 2020 for the extension of some terms, the amendment of Law no. 227/2015 regarding the Fiscal Code, of National Education Law no. 1/2011, as well as of other normative acts. Emergency Ordinance no. 70/2020 was published with the Official Gazette on 14 May 2020 and includes, among others, measures regarding the activity of the trade registry.

Thus, for 6 months as of the date of the termination of the state of emergency:

  • the activity of the trade registry is carried out mainly by electronic means and by correspondence, in accordance with the law;
  • the affidavits that are attached to the registration request/ other requests may have the form of a private deed or electronic form and may be submitted with the trade registry without any other formality, by electronic means, with electronic signature or by mail and courier. The affidavits may also be in authentic form, certified by a lawyer or given before the trade registry;
  • the signature specimen, where the law provides, is submitted with the trade registry in a form legalized by the notary public or certified by a lawyer or in the form of a private deed, without any other formality or may be given before the trade registry.

The deadline for submitting the affidavit regarding the ultimate beneficiary owned is extended until 1 November 2020 and can have the form of a private deed or electronic form and can be submitted with the trade registry without any other formality, by electronic means, with electronic signature or by postal and courier services. The affidavit can also be in authentic form, certified by a lawyer or given before the trade registry.
